Terms of Service.

1. Who this is between

These terms are an agreement between Smith Grown ("we", "us") and the company or person that makes a peep.moe account, gets a PeepEn license key or installs PeepEn ("you"). By doing any of those, you agree to them. If you accept them for a company, you confirm you're allowed to bind that company.

2. What PeepEn is

Peep Enterprise ("PeepEn") is web mail, calendar, contacts and admin software that you install and run on your own server. It connects to the mail service you already use (your IMAP / SMTP host).

• We don't host your mail, calendars, contacts or files. They stay on your server and at your mail host.
• You're responsible for that server: running it, keeping it secure and up to date, backing it up, and meeting any laws that apply to your users' data.
• Your mail host is a separate company with its own terms. We aren't responsible for its service.

3. Your account

• Keep your password private. You're responsible for what's done with your account.
• One account can look after several companies. Add a company only if you're allowed to act for it.
• Keep your contact details current: we send license and billing notices to them.

4. License keys

• Every PeepEn install needs a license key, including the free plan.
• A key works on one install at a time. You can move it to a new install from your account, or it moves by itself once the old install has been quiet for 30 days.
• Keep your key private. If it leaks, replace it from your account.
• We may refuse a request, or switch off a key that was gotten with false details, shared, resold, or used to break these terms.

5. Check-ins

PeepEn checks in with peep.moe about once a week. It sends the license key, an install ID, the number of people and the PeepEn version (the Privacy Policy lists exactly what's sent). This is how your plan and people count are confirmed. If PeepEn can't check in for 30 days, it treats the license as lapsed (section 8).

6. Plans and prices

• "People" means person accounts in PeepEn that aren't disabled. Shared mailboxes, groups, rooms and equipment don't count.
• Past 3, you pay for everyone. At 4 or more people, every person is billed, including the first three.
• Prices are in US dollars. Sales tax, where it applies, is worked out by our payment processor and added to your bill.
• We may also offer trials, complimentary licenses or promo codes. What they give is shown when they're given. When a trial ends, the license lapses like an unpaid one unless you choose a paid plan.

7. Billing

• Paid plans are billed in advance, at the start of each month or year, for the number of people at that time.
• You don't need to give payment details until a payment is due.
• Adding people on a monthly plan: no charge until your next monthly bill, which includes them.
• Adding people on a yearly plan: each added person is charged for the full months left in your yearly term after the month they're added, at $2.50 per person per month ($30 ÷ 12). Partial months aren't charged. The charge is billed at the start of the next month. Example: someone added in month 6 is charged for months 7 to 12: 6 × $2.50 = $15.
• Removing people lowers your next bill. It doesn't refund the current period (see the Refund Policy).
• Plans renew automatically until you cancel. You can cancel or change plans at any time from your account. Cancelling takes effect at the end of the period you've paid for.
• Price changes apply from your next renewal after we've given you at least 30 days' notice by email.

8. If a payment is missed or a license lapses

• A paid license that isn't renewed, or a trial that ends, has a 30-day grace period.
• After the grace period, PeepEn's admin side locks until the license is paid. Mail, calendars and contacts keep working for your people. Your data isn't deleted.
• On the free plan, PeepEn won't add a 4th person until you choose a paid plan.

9. What you may not do

• Remove, bypass or tamper with the license check, or help anyone else do so.
• Resell, sublicense or rent PeepEn, or run it for other companies as a service, without a written agreement with us. (An IT person setting up each company with its own key and account is fine.)
• Use PeepEn to send spam, or for anything illegal.
• Reverse engineer PeepEn, except where the law allows it regardless of this term.

PeepEn stays our property. You get a license to use it under these terms, not ownership.

10. Updates and support

• We may release updates. You choose when to install them.
• Support is by email at info@peep.moe, on a reasonable-effort basis. We don't promise response times unless we've agreed them in writing.

11. Warranty disclaimer

PeepEn is provided "as is". To the extent the law allows, we make no warranties, express or implied, including fitness for a particular purpose, merchantability, or that it will run without errors or interruptions. You're responsible for keeping backups of your data.

12. Limitation of liability

To the extent the law allows:

• We aren't liable for lost data, lost profits, lost business, or indirect or consequential damages.
• Our total liability for any claim is limited to what you paid us for PeepEn in the 12 months before the claim.

13. Ending the agreement

• You can stop using PeepEn at any time.
• We can end your license if you break these terms and don't fix it within 14 days of our email, or at once for fraud or abuse.
• If we stop offering PeepEn altogether, we'll give at least 90 days' notice and refund the unused part of any yearly plan.

14. Changes to these terms

We may change these terms. For material changes we'll email account holders at least 30 days before they take effect. Using PeepEn after that date means you accept them.

15. General

• These terms are governed by the laws of the Commonwealth of Pennsylvania. Disputes go to the courts of Montgomery County, Pennsylvania.
• If part of these terms can't be enforced, the rest still applies.
• These terms, the Privacy Policy and the Refund Policy are the whole agreement, unless we've signed something else with you.
